What Are Discharge and Set-Off?

Discharge is one party "clearing" the other in terms of accounts, that is, saying "I found the accounts correct, I have no receivable/debt left". In an apartment, manager discharge is most often on the agenda: at the end of the period the accounts are examined, and if correct, the manager is discharged. Set-off is the balancing of mutual debt and receivable. This minutes documents that the account has been closed and the parties have agreed.

Filling Guide

Write the account item by item and with figures; discharge is only meaningful after the account has been examined. The manager's discharge is usually done with the auditor's report and the assembly's decision; this minutes is the written result of that process. Two copies should be prepared and the parties should keep them.

Discharge is the general assembly's approval of the manager's accounts and transactions for a given period, ending their liability. The decision is taken at the assembly meeting and entered in the minutes. Where discharge is refused, the right to call the manager to account continues.

As a rule discharge ends liability for the transactions it covers and that were disclosed to the assembly. Where there has been deception, concealment or irregularities that emerge later, however, discharge does not cover them and an action may be brought. The scope of the discharge should therefore be stated clearly in the minutes.

It documents that the parties have calculated their mutual debts and receivables for a given period and established the remaining balance. This prevents disputes over accounts in later periods. The opening balance, collections, expenditure and closing balance should each be stated separately.

Discharge is granted by a majority vote of the general assembly; at a second meeting an absolute majority of those present suffices. It is not appropriate for the manager to vote on their own discharge because of the conflict of interest. The matter should be discussed as a separate agenda item.

The duty to account continues, and the assembly may demand repayment of the missing amount or resolve to bring an action. The grounds and the amount claimed should be recorded in the minutes. Where undocumented spending is identified, criminal proceedings may also come into play.
