What Is a Handover Minutes?

When a manager's duty ends and a new one takes office (resignation, dismissal or expiration of the term), all documents, books, keys and financial assets in the hands of the old management must be transferred to the new management. The document that records this transfer is the handover minutes. The minutes both protects the old manager from future liability and clarifies what the new management has taken over; therefore it is critical for both parties.

What Should Be in the Minutes?

  • Information of the transferring and receiving persons
  • Date of transfer and period information
  • List of transferred documents and books
  • Transferred financial assets (cash, bank balance)
  • List of keys and fixtures
  • Signatures of both parties

Filling Guide

Write each item one by one; instead of a general expression like "everything has been delivered", concretely specify the book, amount and number of keys. Writing the last page number of the resolution book prevents subsequent addition/deletion claims. Two copies should be prepared and each party should keep one copy.

Common Mistakes

  • General expression: Not "all documents delivered", but list item by item.

  • Not writing the financial balance: Cash and bank balance should be specified with figures.

It should itemise the notarised resolution book, the operating ledger, income and expenditure documents, contracts, cash and bank balances, a statement of debts and receivables, the inventory list and the keys. Each item is listed with quantities and reference numbers. A detailed list is preferable to general statements.

The record is signed by the outgoing and incoming managers, and by the auditor if there is one. Two copies are prepared, one for each party. A copy is attached to the resolution book.

The Condominium Law requires resolutions to be recorded in a book with sequentially numbered pages, each stamped by a notary. Resolutions written in an unnotarised book have questionable evidentiary value and can cause problems in annulment proceedings. When the book is full, the new one must again be notarised.

Demand the transfer of documents and assets by notarial notice and record the deadline given. If nothing is handed over, an action can be brought before the Civil Court of Peace, and withholding funds or records may also give rise to criminal liability. In that case the new management should record the existing position in a unilateral report.

The new manager is not responsible for transactions from before they took office. However, if they fail to record the position taken over and report the gaps in writing, proving this later becomes difficult. The existing position should therefore be documented in a report at the start of the term.
